• These Terms cover the Clockwork website and its free tools that need no account. Tools that need an account have their own Terms of Service.
• The tools are free and provided as they are. We accept no liability for them, as far as the law allows.
• Clockwork does not give legal advice. You check every result before you rely on it.
• We do not keep what you enter or the result. Our email provider keeps a copy of each email for 30 days.

1. These Terms

1.1 Who we are. Clockwork is provided by Northbridge Lab Private Limited, a company incorporated in Singapore with UEN 202554723D and registered address at 68 Circular Road, #02-01, Singapore 049422 (“we”, “us”).

1.2 Who you are. You accept these Terms on behalf of the law firm you work for or run (your “Firm”), and you confirm that you are authorised to do so. “You” means your Firm and, where the context requires, you as the individual user.

1.3 Professional use only. The free tools are for use in the course of legal practice. You confirm that you are not using them as a consumer.

1.4 Scope. These Terms apply to the Clockwork website at clockwork.sg and to its free tools that need no account (the “Free Tools”). Tools that need an account, and your use of them, are covered by our Terms of Service instead.

1.5 How you accept. By using the website you agree to these Terms. For the Free Tools, you accept them by ticking the box shown before a Free Tool gives you its first result. Our Privacy Policy explains how we handle personal data that we control. It is a notice, not part of these Terms.

2. The Free Tools

2.1 How they work. Some Free Tools read your files in your browser, and your files never reach us. Others calculate from what you enter. Each emails its result to the work email address you give.

2.2 Changes. The Free Tools are free. We may change or withdraw any of them at any time.

2.3 Your email address. We send the result to the email address you enter. You are responsible for entering it correctly, and we are not responsible if a result reaches the wrong person because the address was wrong.

3. Your professional responsibility

3.1 No legal advice. The Free Tools prepare documents and calculations. They do not give legal advice and do not replace your professional judgement.

3.2 You check the result. You are solely responsible for checking every result before you use, file or serve it, for its suitability for your matter, and for meeting deadlines and court requirements.

4. Your information

4.1 Our use. What you enter, and the result, reach us only so that we can produce the result and email it to you. We use them for nothing else, and we do not sell them or use them to train any AI model.

4.2 Retention. We do not keep what you enter or the result. Our email provider keeps a copy of each email for 30 days.

4.3 Personal data. Where what you enter or the result contains personal data, your Firm is the organisation responsible for it under the Personal Data Protection Act 2012 (“PDPA”), and we process it as your data intermediary. We protect it with reasonable security arrangements, process it only in Singapore and the United States, and notify you without undue delay if a data breach affects it, as section 26C(3)(a) of the PDPA requires.

5. Acceptable use

You must not use the Free Tools unlawfully, interfere with or overload them, or copy, resell or reverse engineer them, except as the law allows.

6. No warranty

The Free Tools and their results are provided “as is” and “as available”, without any warranty, including of accuracy or fitness for a particular purpose.

7. No liability

As far as the law allows, we have no liability to you or your Firm arising out of or in connection with the Free Tools, whether in contract, tort (including negligence) or otherwise. This does not exclude liability for death or personal injury caused by negligence, for fraud, or any other liability that the law does not allow us to exclude.

8. Changes to these Terms

We may publish a new version of these Terms. Each version is dated, and earlier versions are available on request. A new version applies from your next use of a Free Tool, and we ask you to accept it then.

9. General

We and our licensors own the Free Tools. These Terms are governed by Singapore law, and the Singapore courts have exclusive jurisdiction over any dispute arising out of or in connection with them. You can contact us at founders@northbridgelab.com.
